These terms apply to all services Perceptum B.V. delivers: building your website, maintaining that website, and operating the Perceptum suite. We keep it short, clear, and honest.

1. Who and what

"You" means the entrepreneur or organisation that hires us. "We" means Perceptum.
2. What you get
What exactly you get is documented in a quote or delivery document. By default our website service includes:
- A working website on your own domain
- Hosting and SSL
- Maintenance and security
- Access to the Perceptum suite (see §3)
- Response to questions within one business day
In case of conflict between these terms and your quote, the quote prevails.
3. The Perceptum suite
The Perceptum suite is a continuously developed package of tools: Analytics, Formbridge (form backend), Chatbot, ConsentBridge (cookie consent), WebScan (technical audit), SpeedGuard (performance), UptimeGuard (availability), SocialProof, ReviewBridge (review management), Pinpoint (visual feedback), Content Machine, and Dashboard.
Not every tool is always in every bundle. We add tools as they become production-ready and fit your situation. We do not remove active functionality without at least 30 days' notice.
4. Duration and termination
Our service continues until you terminate. No automatic multi-year renewals, no lock-in clauses.
- Notice period: one month, by email to wijnand@perceptum.nl.
- Upon termination, your website remains live until the end of the current month.
- After termination we hand over your website source code, content, and all data you provided or generated within 30 days (right to data portability, GDPR art. 20).
- OAuth integrations (Google Business Profile, payment providers) we delete within 24 hours after termination.
If we default or commit a material security failure, you may terminate immediately without notice.
5. What you pay
Prices are in your quote. By default:
- One-off setup fee for building your website
- Monthly amount for hosting, maintenance, and the Perceptum suite
We invoice monthly in advance. Payment term: 14 days. Upon late payment, we first send a reminder, then a notice, and upon continued delay we suspend service (your website stays live, but new changes pause).
We do not raise prices without reason. For a general price increase we inform you at least 60 days in advance and you may terminate within 30 days at the current rate.
6. Ownership and usage rights
- You own your own content — texts, photos, customer data, form submissions.
- We retain ownership of the Perceptum suite as software. You have a right of use as long as our service runs.
- The website source code we build for you, you may take with you upon termination. You have a perpetual right of use.
7. What we promise (and don't)
We promise:
- Working to current technical standards
- Responding to questions within one business day
- Security updates immediately after release
- Open communication and best-effort recovery during incidents
We do not promise:
- 100% uptime — we aim for 99.5% or better, but the internet and hosting providers experience occasional disruptions
- A specific position in search engines — we do what is technically and editorially possible, but Google determines ranking itself
- That external services (Google, Mollie, Resend) always work as they promise
8. Liability
We do our work as carefully as possible, but mistakes can happen. Our liability is limited to the amount you have paid us in the past three months, with a maximum of € 5,000. We are not liable for lost revenue, lost customers, or indirect damage.
This limitation does not apply in case of intent or gross negligence. For a demonstrable security failure that we should have prevented, we cover the costs of remediation and breach notification in full.
9. Data processing
When we process personal data of your customers on your behalf (for example through your forms or chatbot), we are processor and you are controller. Our data processing agreement is part of your quote.
For data you provide to us yourself (your contact details, invoice details), we are controller. How we handle that is described in our Privacy Policy.
10. External services and integrations
Our service integrates with external parties (Google, Mollie, Resend, Railway, Neon). For what you expose to these parties, their own terms also apply. We select parties that are GDPR-compliant and process EU data within the EU where possible.
Specifically for Google Business Profile: you grant us access to your business profile through Google's own OAuth screen. What we do with it — and how to revoke it — is described in the Privacy Policy.
11. Changes
We change these terms only when necessary due to changes in our service or legislation. Substantive changes we announce at least 30 days in advance by email. For a change that is detrimental to you, you may terminate against that date at the current terms.
12. Governing law
These terms are governed by Dutch law. Disputes we first present to each other in conversation; if we cannot resolve them together, the District Court of The Hague decides.
